PadelMints is operated by Capital AI S.R.L., Via Giuseppe Ripamonti 19, 20136 Milano (MI), Italy, VAT No. / Tax Code 13856590966, REA MI-2748256, PEC capital-ai@pec.it ("PadelMints", "we"). These terms have two parts.
You need to be at least 14 years old to create an account (under 18 with the knowledge of a parent or guardian). Provide accurate information, keep your credentials secret, and tell us if you suspect unauthorised use. You are responsible for activity under your account.
PadelMints provides the technology that lets you find clubs and book courts. When you book, the contract for the use of the court is between you and the club; PadelMints is not the operator of the courts and is not a party to that contract. The club is responsible for court availability, quality, safety, opening hours and its prices (which may vary over time, including through dynamic pricing). The price you see at checkout is the price you pay.
Cancellation and refund rules are set by each club and shown at booking. Unless the club's policy or the law says otherwise, refunds are issued by the club or through the original payment method according to that policy. Payments are processed by Stripe. Nothing in these terms limits any right of withdrawal or refund you have as a consumer under mandatory law; where you have a statutory right, it prevails over the club's policy. Note that for leisure services booked for a specific date or period, the right of withdrawal under Italian consumer law (Art. 59 of the Consumer Code) does not generally apply.
Do not misuse the service: no false bookings or no-shows as a habit, no harassment or abusive content in player posts or messages, no impersonation, no attempts to break, scrape or overload the service, and no unlawful use. We and clubs may record attendance and no-shows as part of your trust profile. We may suspend or close accounts that breach these terms.
Padel is a physical sport and you take part at your own risk; clubs are responsible for their facilities. We provide the service with reasonable care but do not guarantee uninterrupted availability. To the maximum extent permitted by law we are not liable for indirect losses, or for acts or omissions of clubs or other players. Our total liability to you is limited to the amount you paid through the service in the 12 months before the event, except that nothing excludes or limits liability for intent, gross negligence, death or personal injury caused by our fault, or any liability that cannot be limited by law. Your rights as a consumer under mandatory law are not affected.

Part B applies to clubs that register on PadelMints and to the person who registers on the club's behalf, who confirms they are authorised to bind the club. Clubs act as businesses; these terms do not apply to consumers in that capacity.
PadelMints provides padel club management software: online bookings, pricing tools (fixed, time-based and AI-assisted dynamic pricing), calendar sync, customer list, email tools and revenue reports. New clubs are reviewed before they are listed; we may refuse or remove a listing that is inaccurate, unlawful or harms players.
The subscription renews automatically every month until cancelled. You can cancel at any time through the billing portal (Stripe customer portal), with effect at the end of the current billing period; you keep access until then. We do not refund partial months unless the law requires it.
No unlawful use, no sending spam or unsolicited communications through the platform, no misleading listings or reviews, no attempt to circumvent security or to access other clubs' data, no reselling of the service without our consent, and no use that unreasonably burdens the infrastructure.
You own the data of your club and your customers. We use it only to provide the service, under the DPA and our Privacy Policy. You can export your customer list (CSV) at any time and download your data from Club Settings. We keep a licence to operate the service with your data only as needed to provide it, and to use aggregated, non-identifiable statistics to improve it.
If a payment fails, we may retry it and notify you; if it remains unpaid we may suspend the service (including online booking for your club) after reasonable notice, and terminate the contract if the default continues. We may also suspend or terminate for a material breach of these terms or unlawful use. You may terminate at any time as set out in B3. On termination, section 9 of the DPA applies to your customer data, and records we must keep by law (such as invoices) are retained.
We may change these Club Terms or the price by giving you at least 30 days' notice by email or in the dashboard. If you do not agree, you may cancel before the change takes effect; otherwise continued use after that date means acceptance. Changes required by law or that do not harm you may take effect sooner.
The service is provided "as is" with reasonable care and no guaranteed uptime. To the maximum extent permitted by law, our liability to a club is limited to the fees paid by that club in the 12 months before the event giving rise to the claim, and we are not liable for loss of profit, loss of bookings, or indirect damages, except for intent or gross negligence or where limitation is not permitted by law.
The PadelMints software, name and logo belong to Capital AI S.R.L. or its licensors. You receive a limited, non-exclusive, non-transferable right to use the service under these terms.
These terms are governed by Italian law. For clubs and other business users, the courts of Milano have exclusive jurisdiction. For consumers, mandatory consumer-protection rules apply, including the right to bring proceedings before the courts of your place of residence or domicile in Italy or in your EU member state. Consumers may also use the EU online dispute resolution platform at ec.europa.eu/consumers/odr.
